These Terms and Conditions ("Terms") govern your use of the website, products, and services provided by Techno Metal, operating from Shop No 8, Prime Market Complex, Dwarka Sector 12, New Delhi, Delhi 110075, India ("we," "our," or "us"). These Terms constitute a legally binding agreement between you ("Customer," "you," or "your") and Techno Metal.

By accessing our website, placing an order, or using any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, please discontinue use of our services immediately.

By using our website or services, you represent that you are at least 18 years of age, legally capable of entering into binding contracts under Indian law, and are authorized to bind the entity on whose behalf you are acting (if applicable).

These Terms apply to all visitors, customers, vendors, and other users of our services. Your continued use of our website and services constitutes your ongoing acceptance of these Terms as may be amended from time to time.

Techno Metal provides the following products and services:

• Supply of structural steel products including angles, beams, channels, and plates
• Stainless steel products including pipes, tubes, sheets, and fittings
• Industrial fasteners and hardware including bolts, nuts, anchors, and related items
• Metal fabrication services including cutting, bending, welding, and finishing
• CNC precision machining services for custom metal components
• Bulk metal trading with nationwide logistics and delivery
• Technical consultancy on material selection and specifications

We reserve the right to modify, suspend, or discontinue any product or service at any time without prior notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of services.

All orders placed with Techno Metal are subject to our acceptance and availability of stock. A contract between you and Techno Metal is formed only when we confirm your order in writing via email, invoice, or official order confirmation document.

• Order Placement: Orders may be placed via phone, email, WhatsApp, or through our contact form. Verbal orders must be confirmed in writing within 24 hours.
• Order Confirmation: We will confirm receipt of your order within one business day. Confirmation does not guarantee availability or pricing.
• Order Modifications: Changes to confirmed orders must be requested in writing before material is cut or fabricated. Modifications may incur additional charges.
• Order Cancellation: Cancellations must be made in writing before dispatch. Orders cancelled after production has commenced may be subject to cancellation fees up to 25% of the order value.
• Minimum Order Quantities: Certain products may have minimum order quantities (MOQs). These will be communicated at the time of quotation.

We reserve the right to refuse or cancel any order for any reason including product unavailability, errors in product or pricing information, or suspected fraudulent activity.

All prices are quoted in Indian Rupees (INR) and are exclusive of Goods and Services Tax (GST), loading/unloading charges, and transportation costs unless expressly stated otherwise in the written quotation.

• Price Validity: Quoted prices are valid for the period specified in the quotation. Metal prices are subject to market fluctuations; prices may change without notice for orders not yet confirmed.
• GST: Applicable GST will be charged as per prevailing government rates at the time of invoicing.
• Payment Terms: Standard payment terms are 100% advance payment for new customers. Credit terms may be extended to established customers subject to our credit assessment and written agreement.
• Credit Customers: Invoices are payable within the credit period specified on the invoice (typically 15 or 30 days). Late payments will attract interest at 18% per annum.
• Accepted Payment Methods: Bank transfer (NEFT/RTGS/IMPS), cheque (subject to clearance), and UPI payments. Cash payments are subject to applicable limits under Indian law.
• Price Errors: In the event of a pricing error, we reserve the right to cancel the order or request the balance payment. You will be notified promptly in such cases.

Techno Metal endeavours to deliver all orders within the committed timeframes. However, delivery timelines are estimates and not guaranteed unless expressly agreed in writing.

• Delivery Area: We deliver across Delhi NCR and major cities in India. Delivery charges vary by location and order size and will be specified in the quotation.
• Standard Lead Time: In-stock items are typically dispatched within 1–3 business days of payment clearance. Custom fabrication orders are subject to production timelines as agreed.
• Risk of Loss: Risk of loss or damage to goods passes to the customer upon delivery to the delivery address or upon collection from our premises.
• Delivery Inspection: You must inspect all deliveries at the time of receipt. Any shortage, damage, or discrepancy must be noted on the delivery receipt and reported to us in writing within 48 hours.
• Force Majeure: We are not liable for delays caused by circumstances beyond our reasonable control, including natural disasters, strikes, government actions, transportation disruptions, or raw material shortages.
• Undelivered Goods: If delivery is unsuccessful due to reasons attributable to you (e.g., site not ready, no one to receive), storage and re-delivery charges may apply.

Returns and refunds are subject to the following conditions:

• Defective Goods: If goods are found to be defective or not as per specification, you must notify us in writing within 5 business days of delivery. We will investigate and, if the claim is valid, replace or credit the goods.
• Incorrect Delivery: Wrongly delivered items must be reported within 48 hours. We will arrange collection and replacement at no cost.
• Change of Mind: Returns due to change of mind are generally not accepted for cut-to-size or custom fabricated items. For standard stock items, returns may be accepted within 7 days in original condition, subject to a 10% restocking fee.
• Non-Returnable Items: Custom-cut materials, fabricated components, special-order items, and materials that have been modified or processed are non-returnable.
• Refund Processing: Approved refunds will be processed within 7–10 business days via the original payment method.

All products supplied by Techno Metal conform to the applicable Indian Standards (BIS) and international standards as specified at the time of sale. We provide mill test certificates and inspection reports where required and available.

• Products are warranted against manufacturing defects for a period of 6 months from the date of delivery, unless a different warranty period is specified.
• The warranty does not cover damage caused by improper storage, handling, installation, misuse, unauthorized modification, or normal wear and tear.
• For fabricated components, the warranty covers workmanship defects but not the base material beyond the manufacturer's warranty.
• We make no warranty that products will meet your specific technical requirements unless explicitly confirmed in writing prior to sale.

By providing your contact details and consenting through our contact form, you agree to receive communications from Techno Metal and its authorized communication partner My Inbox Media ® through the following channels:

• SMS: Transactional messages, order updates, promotional offers, and service notifications.
• Email: Order confirmations, invoices, newsletters, product updates, and marketing communications.
• OBD (Outbound Dialing): Automated voice calls for important notifications and promotional campaigns.
• Google RCS: Rich messaging with enhanced content for service updates and promotions.
• WhatsApp: Business communications, order tracking, product information, and customer support.

You may opt out of promotional communications at any time by contacting us at info@technometal.shop or by replying "STOP" to any SMS. Opt-out requests will be processed within 7 business days. Transactional communications related to active orders cannot be opted out of.

You are responsible for ensuring that the contact information you provide is accurate and kept up to date. Techno Metal is not liable for missed communications due to incorrect contact details provided by you.

The content on the Techno Metal website, including but not limited to text, graphics, logos, images, digital downloads, data compilations, and software, is the property of Techno Metal or its content suppliers and is protected by Indian and international intellectual property laws.

• You may not reproduce, duplicate, copy, sell, resell, or exploit any portion of our website or its content without our express written permission.
• Our trademarks, service marks, and trade names may not be used in connection with any third-party product or service without prior written consent.
• Technical drawings, specifications, and designs created by our engineering team remain our intellectual property unless otherwise agreed in writing.
• Any feedback, suggestions, or ideas you provide to us may be used by us freely without any obligation to you.

To the maximum extent permitted by applicable law, Techno Metal shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of business, loss of data, business interruption, or any other pecuniary loss arising out of or relating to your use of our services.

Our total aggregate liability arising out of or relating to these Terms or your use of our services shall not exceed the total amount paid by you to Techno Metal in the three months preceding the event giving rise to the claim.

Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be limited or excluded under applicable Indian law.

You agree to indemnify, defend, and hold harmless Techno Metal, its directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses (including legal fees) arising from:

• Your use of and access to our website or services
• Your violation of any term of these Terms and Conditions
• Your violation of any third-party rights including intellectual property rights
• Your violation of any applicable law, regulation, or ordinance
• Any negligent or wrongful act or omission by you in connection with the use of our products or services

We reserve the right to terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use our services will cease immediately.

All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability. Outstanding payment obligations shall remain in full force after termination.

These Terms and Conditions shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. The parties specifically agree that the courts at New Delhi, India shall have exclusive jurisdiction over any disputes arising out of or relating to these Terms or the use of our services.

The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms. These Terms are subject to applicable Indian legislation including the Indian Contract Act, 1872, the Consumer Protection Act, 2019, and the Information Technology Act, 2000 (as amended).

In the event of any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, the parties shall first attempt to resolve the matter through good-faith negotiation.

If the dispute cannot be resolved through negotiation within 30 days, either party may initiate mediation through a mutually agreed mediator in New Delhi. If mediation fails within 60 days, the dispute shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996.

The arbitration shall take place in New Delhi, India. The language of arbitration shall be English. The arbitrator's decision shall be final and binding on both parties.

We reserve the right to modify or replace these Terms at any time at our sole discretion. Changes will be effective immediately upon posting to our website. We will provide notice of material changes by updating the "Last Updated" date and, where appropriate, by notifying customers via email or other communication channels.

Your continued use of our services after any changes to these Terms constitutes your acceptance of the new Terms. If you do not agree with the modified Terms, you should discontinue use of our services and contact us to resolve any outstanding transactions.
